Entity: Find A Fence

This agreement is between you and Find A Fence (referred to as "the Company", "the Platform", "we", or "us"). By downloading, installing, or using the Find A Fence mobile application on Android or iOS, you agree to the following terms.

1. COMPANY IDENTITY AND OVERVIEW

Find A Fence is a facilitator and does not act as an agent, insurer, or contractor for any User. We are not responsible for the performance of advertising or the physical safety of the site.

  • Support Email: admin@findafence.com.au 
  • Role of Platform: We are a venue for discovery and payment processing. We do not own, inspect, or manage the physical fences listed.

2. DEFINITIONS AND INTERPRETATION

  • Host: A User who lists physical fence space on the Platform for the purpose of third-party advertising.
  • Advertiser: A User who seeks to book and utilize a Host's fence space for advertising purposes.
  • Listing: The advertisement created by a Host describing the fence space, including location, dimensions, and price.
  • Booking Period: The duration for which a fence is rented, ranging from a minimum of seven (7) days to a maximum of one (1) year.
  • Platform Fee: The service fee retained by Find A Fence for facilitating the transaction.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 User Information

To access the Platform, Users must provide a valid First Name, Last Name, Email Address, and Phone Number. You represent that all information provided is accurate and current.

3.2 Role Switching

The Platform allows Users to switch between "Host" and "Advertiser" roles within the application settings. Regardless of the active role, you are bound by the clauses relevant to that role at the time of the transaction.

3.3 Verification

Find A Fence reserves the right, but not the obligation, to verify the identity of Users or the ownership of listed properties to maintain platform integrity.

3.4 Age Requirement

To create an account and use the Platform, Users must be at least 18 years of age and capable of entering into legally binding contracts.

4. HOST OBLIGATIONS AND LISTINGS

4.1 Listing Accuracy

When listing a fence, the Host must provide exhaustive and truthful details, including: 

  • Precise GPS Location and State.
  • Traffic Tier (estimated volume) and distance from the road.
  • Physical specifications: Fence Type, Height, and Width.
  • Title, Description, and high-resolution Photos.

4.2 Property Rights

  • The Host warrants that they own the property or have the express legal authority from the property owner to lease the fence space for advertising. The Host is responsible for ensuring the listing does not violate local council by-laws or strata regulations.
  • If a local council orders the removal of signage, the Host and Advertiser remain liable for any fines, and the Platform Fee is non-refundable.

4.3 Maintenance

The Host must ensure the fence remains structurally sound and that the advertisement remains visible and unobstructed for the duration of the Booking Period.

5. ADVERTISER OBLIGATIONS

5.1 Content Compliance

Advertisers are solely responsible for the content of their advertisements. All creative material must comply with the Australian Association of National Advertisers (AANA) Code of Ethics. Content must not be defamatory, misleading, deceptive, or offensive.

5.2 Installation and Removal

Unless otherwise agreed in writing, the Advertiser is responsible for the costs and labor associated with the printing, installation, and removal of the advertisement. Any damage caused to the Host's property during installation/removal is the liability of the Advertiser.

6. BOOKING AND PAYMENT PROCESS

6.1 The Request Workflow

  1. Request: The Advertiser submits a booking request for a specific duration (1 week to 1 year). 
  2. Approval: The Host has the right to approve or decline the request based on the proposed content or timing. 
  3. Payment: Upon Host approval, the Advertiser must pay the Total Booking Amount immediately via the Stripe payment gateway.

6.2 Payment Security

Find A Fence uses Stripe as a third-party payment processor. We do not store full financial credentials. By using the Platform, you agree to Stripe’s Services Agreement.

7. THE PAYOUT SCHEDULE (HOST DISBURSEMENT)

To ensure security and performance, Host payouts are executed on a milestone basis:

  • Monthly Milestone: If a booking exceeds thirty (30) days, the payout for the first 30-day period is executed immediately upon the completion of that month.
  • Subsequent Cycles: This 30-day cycle continues for the duration of the booking.
  • Final Balance: Any remaining balance (e.g., the final 15 days of a 45-day booking) will be executed within three (3) business days following the successful conclusion of the full Booking Period.
  • Platform Deductions: All payouts to Hosts are net of the Find A Fence Platform Fee and applicable Stripe processing fees.

8. DISPUTE RESOLUTION AND TICKETING

8.1 Raising a Ticket

In the event of a dispute (e.g., advertisement not installed, fence damaged, incorrect listing details), either party may "Raise a Ticket" through the Application’s Help Center.

8.2 Administrative Hold

Crucial Clause: Once a dispute is raised, Find A Fence will place an immediate Administrative Hold on all upcoming and pending payouts related to that booking. Funds will remain in escrow until the dispute is resolved by a Platform Administrator.

8.3 Finality of Decision

The Administrator's decision is final and binding only in relation to the release or refund of funds held under an Administrative Hold. This does not prevent Users from seeking external legal remedies.

9. LIMITATION OF LIABILITY AND INDEMNITY

9.1 No Warranty

Find A Fence provides the platform "as is." We do not guarantee the physical condition of the fences or the financial status of the Advertisers.

9.2 Australian Consumer Law (ACL)

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth).

9.3 Indemnity

You agree to indemnify and hold harmless Find A Fence from any claims, damages, or legal fees arising from:

  • Local council fines for illegal signage.
  • Damage to property or personal injury occurring at the Host's location.
  • Infringement of third-party intellectual property by an Advertiser.

9.4 Force Majeure

Find A Fence is not liable for any failure or delay in performing its obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure, server outages, natural disasters, or acts of God.

10. TERMINATION

Find A Fence reserves the right to suspend or terminate any account that violates these terms, engages in fraudulent activity, or receives repeated negative reports from other Users.

11. GOVERNING LAW

These Terms are governed by the laws of New South Wales, Australia. All parties submit to the exclusive jurisdiction of the courts of New South Wales.

12. INTELLECTUAL PROPERTY

  • Platform IP: Find A Fence owns all software, designs, and trademarks associated with the Platform.
  • User Content: By uploading photos or descriptions, Hosts grant the Platform a royalty-free license to use that content for marketing purposes.
  • Advertiser IP: Advertisers retain ownership of their specific ad creative but warrant they have the right to use it.

13. PRIVACY ACT COMPLIANCE

We collect and handle personal information in accordance with the Privacy Act 1988 (Cth). Please refer to our Privacy Policy for details on how we manage your data, including GPS locations and contact details.
